Terms of Use
Effective September 15, 2026
These Terms govern your access to and use of officiora.com and Officiora's marketplace, subscriptions, professional network, community, consultations, digital delivery and related services.
Eligibility and acceptance
You must be at least 18 years old and legally able to enter a binding agreement to use Officiora. By accessing the service, creating an account, submitting information, making a purchase, publishing content or using a paid feature, you agree to these Terms and the Privacy Policy. If you use Officiora for an organization, you represent that you have authority to bind it.
Accounts and security
Provide accurate, current information and protect your credentials. You are responsible for activity conducted through your account and must promptly report suspected unauthorized access. You may not impersonate another person, create deceptive accounts, circumvent security controls, share access in a manner that defeats plan or license limits, or use another person's credentials.
Marketplace role
Officiora operates a curated marketplace and professional network. Independent professionals are responsible for their products, listings, consultations, professional statements, legal compliance and performance. Vetting, credential review and product QA are trust controls, not endorsements or guarantees of results. Officiora may review, approve, reject, return, restrict, unpublish or remove marketplace content.
Professional eligibility and verification
Professionals must satisfy Officiora's current eligibility and verification standards, including the primary U.S.-residence requirement unless an authorized administrative exception applies. Professionals must provide truthful evidence, keep material information current, cooperate with reviews, and avoid overstating credentials, experience, outcomes or verification status. Approval may be suspended or withdrawn when standards are not met.
Purchases and digital products
Prices and the materials included in a purchase are shown before checkout. Marketplace products must satisfy Officiora's current minimum list-price standard. A purchase grants only the rights provided by the product-specific license or listing; ownership of the underlying intellectual property does not transfer. You may not unlawfully copy, resell, sublicense, publicly distribute, remove ownership notices from, or use purchased materials to create a competing product. Secure access may be limited to the purchasing account.
Subscriptions
Paid plans renew automatically at the disclosed billing interval until canceled. You authorize Stripe to charge the payment method associated with the subscription. Cancellation normally takes effect at the end of the current paid period unless the subscription status changes sooner. Plan changes may produce prorated adjustments. Features identified as planned, phased, early-access or coming soon are not guaranteed until released.
Fees, taxes and payouts
Professionals authorize Officiora to deduct the marketplace commission and other disclosed amounts from eligible transactions. Stripe processing fees are separate. Professionals are responsible for payment-account onboarding and for taxes, registrations, invoices and reporting applicable to their activity. Officiora's standard creator settlement policy uses a seven-day rolling settlement window and weekly payout cadence for eligible marketplace proceeds. Transactions that are refunded, disputed, reversed, under review or otherwise restricted may be excluded from payout or held until resolved. Stripe processing timelines, account status, reserves and applicable law may also affect availability.
Refunds and disputes
Refund requests are reviewed under Officiora's Quality Guarantee and the standards described in the FAQ. Depending on the circumstances, Officiora may provide a full or partial refund, marketplace credit, replacement access or another reasonable resolution. Because digital products can be delivered immediately, Officiora may consider checkout records, the listing shown at purchase, purchase terms, delivery and download history, account identity signals, product quality, buyer complaint, professional response, duplicate charges and evidence of misuse. Chargebacks, fraudulent disputes, repeated refund abuse or attempts to retain downloaded materials without payment may result in account restrictions or other protective action.
Consultations and professional information
Consultations and marketplace materials are for general informational and professional-use purposes unless expressly agreed otherwise. They do not create an attorney-client, fiduciary, medical, accounting, investment-advisory or other regulated professional relationship with Officiora. Users remain responsible for independent judgment and for obtaining appropriately licensed advice when required.
Content and community conduct
You retain ownership of content you submit. You grant Officiora a worldwide, non-exclusive, royalty-free license to host, reproduce, format, display and distribute that content as necessary to operate, promote and improve the service. Do not submit unlawful, infringing, deceptive, confidential-without-authority, malicious, harassing, discriminatory, exploitative or privacy-invasive content. Community and messaging features may be moderated.
Intellectual property
Officiora's name, branding, software, interfaces, marketplace systems, editorial materials and Officiora Originals are protected by intellectual-property law. Except for rights expressly granted through the service or a product-specific license, no rights are transferred. Feedback may be used by Officiora without restriction or compensation.
Prohibited use
You may not violate law; facilitate fraud; scrape or harvest data without authorization; probe, disrupt or bypass security; upload malware; interfere with another user; manipulate reviews or verification; evade fees; misuse personal information; reverse engineer protected portions of the service except where law forbids restriction; or use Officiora to market prohibited or misleading products or claims.
Suspension and service changes
Officiora may investigate activity and restrict, suspend or terminate accounts, listings, transactions or access when reasonably necessary for security, legal compliance, marketplace integrity, nonpayment or violation of these Terms. We may change or discontinue features and will use reasonable efforts to avoid unnecessary disruption to paid access and completed purchases.
Disclaimers
Officiora is provided on an as-available basis. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, noninfringement and uninterrupted or error-free operation. Limitation of liability
To the maximum extent permitted by law, Officiora and its operators, affiliates and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, lost profits, lost data or business interruption. Our aggregate liability arising from the service will not exceed the greater of $100 or the amount you paid to Officiora during the 12 months before the event giving rise to the claim. These limits do not apply where applicable law prohibits them.
Indemnification
You agree to defend, indemnify and hold harmless Officiora and its operators and affiliates from third-party claims, losses and reasonable costs arising from your content, professional services, products, unlawful conduct, infringement, misuse of the service or material violation of these Terms, except to the extent caused by Officiora's own unlawful conduct.
Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Unless applicable law requires otherwise, claims relating to these Terms or Officiora must be brought in the state or federal courts located in New York County, New York, and the parties consent to their jurisdiction. Before filing a claim, contact support@officiora.com so the parties can attempt an informal resolution.
Changes and contact
We may update these Terms as the service evolves. The current version will be posted here with its effective date, and continued use after an update constitutes acceptance to the extent permitted by law. Questions may be sent to support@officiora.com.
